1. Acceptance of Terms
By accessing or using iShackShare.com (the “Site”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Use (the “Terms”) and any additional rules, policies, or guidelines posted on the Site. If you do not agree to these Terms, you must not use the Site.
These Terms constitute a legally binding agreement between you and ShackShare LLC (“ShackShare,” “we,” “us,” or “our”).
2. Description of the Platform
iShackShare.com is an online marketplace that enables individuals (“Hosts”) to list ice shacks or similar recreational accommodations for short-term rental, and enables other individuals (“Guests” or “Renters”) to browse, book, and rent such listings.
ShackShare provides a technology platform only and is not a party to any rental agreement or other contractual relationship between Hosts and Guests. Any rental agreement is entered into directly between the Host and the Guest.
3. Eligibility and User Representations
You represent and warrant that:
- You are at least eighteen (18) years of age;
- You have the legal authority to enter into these Terms;
- Your use of the Site will comply with all applicable federal, state, county, municipal, and local laws, regulations, ordinances, and rules.
4. Host Responsibilities, Regulatory Compliance, and Taxes
Hosts acknowledge and agree that they act as independent providers of rental accommodations and are solely responsible for ensuring that their listings, rental properties, and rental activities comply with all applicable federal, state, county, municipal, tribal, and local laws, regulations, ordinances, codes, and rules, whether now in effect or later enacted.
Without limitation, Hosts are solely responsible for compliance with all requirements relating to:
- Zoning, land use, and occupancy laws;
- Licensing, registration, and permit requirements;
- Health, safety, and equipment standards;
- Insurance requirements;
- Accessibility requirements, if applicable; and
- Consumer protection and disclosure obligations.
Tax Responsibility. Hosts expressly acknowledge and agree that they are solely responsible for determining, collecting, reporting, and remitting any and all taxes, fees, assessments, or charges arising from or related to their rental activities, including but not limited to excise taxes, leisure taxes, hospitality taxes, resort taxes, tourism taxes, occupancy taxes, lodging taxes, local option taxes, or similar taxes, whether imposed by any governmental or quasi‑governmental authority.
ShackShare LLC may, where required by law and in its sole discretion, collect and remit standard sales tax on certain transactions. Any such collection or remittance by ShackShare does not relieve Hosts of responsibility for any other tax obligations, nor does it constitute tax advice, a determination of tax applicability, or an assumption of liability by ShackShare.
Hosts acknowledge that tax laws and obligations vary by jurisdiction and change frequently. ShackShare makes no representations or warranties regarding tax compliance, and Hosts agree that they have not relied upon ShackShare for tax, legal, or accounting advice.
Hosts agree to indemnify, defend, and hold harmless ShackShare from any claims, audits, penalties, fines, interest, or liabilities arising from a Host’s failure to comply with any legal or tax obligation.
5. User Conduct
You agree not to use the Site to:
- Violate any applicable law or regulation;
- Infringe upon the rights of any other person or entity;
- Harass, threaten, intimidate, or abuse others;
- Impersonate any person or entity or misrepresent your affiliation;
- Upload or transmit viruses, malware, or other harmful code;
- Interfere with or disrupt the Site or its systems;
- Engage in fraudulent, deceptive, or misleading conduct.
6. Content and Intellectual Property
All content on the Site, including text, graphics, logos, images, software, and other materials, is owned by or licensed to ShackShare unless otherwise indicated. You may not copy, reproduce, modify, distribute, or create derivative works from Site content without ShackShare’s prior written consent.
By submitting or posting content (including listings, photos, descriptions, or reviews), you grant ShackShare a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute such content in connection with operating and promoting the Site.
You represent and warrant that you own or have the necessary rights to any content you submit and that such content does not violate any third-party rights.
7. Disclaimers
THE SITE, ALL LISTINGS, AND ALL CONTENT AND SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHACKSHARE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON‑INFRINGEMENT.
SHACKSHARE DOES NOT WARRANT OR GUARANTEE:
- THE SAFETY, LEGALITY, QUALITY, CONDITION, OR SUITABILITY OF ANY LISTING OR RENTAL PROPERTY;
- THE ACCURACY OR COMPLETENESS OF ANY LISTING INFORMATION;
- THE CONDUCT, ACTS, OR OMISSIONS OF ANY HOST, GUEST, OR THIRD PARTY;
- THAT USE OF THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.
USERS ACKNOWLEDGE THAT OUTDOOR AND RECREATIONAL ACTIVITIES, INCLUDING ICE FISHING AND USE OF ICE SHACKS, INVOLVE INHERENT RISKS OF SERIOUS INJURY, DEATH, AND PROPERTY DAMAGE. USERS VOLUNTARILY ASSUME ALL SUCH RISKS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHACKSHARE LLC OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR PERSONAL INJURY, WRONGFUL DEATH, PROPERTY DAMAGE, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO:
- USE OF OR INABILITY TO USE THE SITE;
- ANY LISTING, BOOKING, OR RENTAL;
- ANY ACTS OR OMISSIONS OF HOSTS, GUESTS, OR THIRD PARTIES;
- CONDITIONS OF ICE, WEATHER, WATER, OR NATURAL ENVIRONMENTS;
- ANY DISPUTE BETWEEN HOSTS AND GUESTS.
IN NO EVENT SHALL SHACKSHARE’S TOTAL LIABILITY FOR ANY CLAIM EXCEED THE AMOUNT OF FEES PAID TO SHACKSHARE BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.
9. Indemnification
You agree to defend, indemnify, and hold harmless ShackShare LLC and its members, managers, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, causes of action, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:
- Your use of or access to the Site;
- Your listing, booking, operation, maintenance, or use of a rental property;
- Any actual or alleged violation of law, regulation, or ordinance;
- Any tax assessment, audit, or enforcement action;
- Any injury, death, property damage, or loss occurring at or in connection with a rental;
- Any breach of these Terms or representations made herein.
This indemnification obligation shall survive termination of these Terms and your use of the Site.
10. Termination
ShackShare may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms.
Sections that by their nature should survive termination shall survive, including but not limited to Sections 6–11.
11. Changes to Terms
ShackShare reserves the right to modify these Terms at any time. Updated Terms will be effective upon posting. Continued use of the Site constitutes acceptance of the revised Terms.
12. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict-of-law principles. Any dispute shall be brought exclusively in the state or federal courts located in Wisconsin.
